第二部分

/fas條件

14.1本合同項(xiàng)下貨物的裝運(yùn)艙位由買方或買方的運(yùn)輸代理人______________________租訂。

14.2在fob條件下，賣方應(yīng)負(fù)責(zé)將所訂貨物在本合同第8條所規(guī)定的裝船期內(nèi)按買方所通知的任何日期裝上買方所指定的船只。

14.3在fas條件下，賣方應(yīng)負(fù)責(zé)將所訂貨物在本合同第8條所規(guī)定的裝船期內(nèi)按買方所通知的任何日期交到買方所指定船只的吊桿下。

14.4貨物裝運(yùn)日前10-15天，買方應(yīng)以電報(bào)或電傳通知賣方合同號、船只預(yù)計(jì)到港日期、裝運(yùn)數(shù)量及船運(yùn)代理人的名稱。以便賣方經(jīng)與該船運(yùn)代理人聯(lián)系及安排貨物的裝運(yùn)。賣方應(yīng)將聯(lián)系結(jié)果通過電報(bào)或電傳及時報(bào)告買方。如買方因故需要變更船只或者船只比預(yù)先通知賣方的日期提前或推遲到達(dá)裝運(yùn)港口，買方或其船運(yùn)代理人應(yīng)及時通知賣方。賣方亦應(yīng)與買方的運(yùn)輸代理或買方保持密切聯(lián)系。

14.5如買方所訂船只到達(dá)裝運(yùn)港后，賣方不能在買方所通知的裝船時間內(nèi)將貨物裝上船只或?qū)⒇浳锝坏降鯒U之下，賣方應(yīng)負(fù)擔(dān)買方的一切費(fèi)用和損失，如空艙費(fèi)、滯期費(fèi)及由此而引起的及/或遭受的買方的一切損失。

14.6如船只撤換或延期或退關(guān)等而未及時通知賣方停止交貨，在裝港發(fā)生的棧租及保險(xiǎn)費(fèi)損失的計(jì)算，應(yīng)以代理通知之裝船日期(如貨物晚于代理通知之裝船日期抵達(dá)裝港，應(yīng)以貨物抵港日期)為準(zhǔn)，在港口堆存期滿后第十六天起由買方負(fù)擔(dān)，人力不可抗拒的情況除外。上述費(fèi)用均憑原始單據(jù)經(jīng)買方核實(shí)后支付。但賣方仍應(yīng)在裝載貨船到達(dá)裝港后立即將貨物裝船，交負(fù)擔(dān)費(fèi)用及風(fēng)險(xiǎn)。

15.c&f條件

15.1賣方在本合同第8條規(guī)定的時間之內(nèi)應(yīng)將貨物裝上由裝運(yùn)港到中國口岸的直達(dá)船。未經(jīng)買方事先許可，不得轉(zhuǎn)船。貨物不得由懸掛中國港口當(dāng)局所不能接受的國家旗幟的船裝載。

15.2賣方所租船只應(yīng)適航和適貨。賣方租船時應(yīng)慎重和認(rèn)真地選擇承運(yùn)人及船只。買方不接受非保賠協(xié)會成員的船只。

15.3賣方所租載貨船只應(yīng)在正常合理時間內(nèi)駛達(dá)目的港。不得無故繞行或遲延。

15.4賣方所租載貨船只船齡不得超過15年。對超過15年船齡的船只其超船齡額外保險(xiǎn)費(fèi)應(yīng)由賣方負(fù)擔(dān)。買方不接受船齡超過二十年的船只。

15.5一次裝運(yùn)數(shù)量超過一千噸的貨載或其它少于一千噸但買方指明的貨載，賣方應(yīng)在裝船日前至少10天用電傳或電報(bào)通知買方合同號、商品名稱、數(shù)量、船名、船齡、船籍、船只主要規(guī)范、預(yù)計(jì)裝貨日、預(yù)計(jì)到達(dá)目的港時間、船公司名稱、電傳和電報(bào)掛號。

15.6一次裝運(yùn)一千噸以上貨載或其它少于一千噸但買方指明的貨載，其船長應(yīng)在該船抵達(dá)目的港前7天和24小時分別用電傳或電報(bào)通知買方預(yù)計(jì)抵港時間、合同號、商品名稱及數(shù)量。

15.7如果貨物由班輪裝運(yùn)，載貨船只必須是____________船級社最高船級或船級協(xié)會條款規(guī)定的相同級別的船級，船只狀況應(yīng)保持至提單有效期終了時止，以裝船日為準(zhǔn)船齡不得超過20年。超過20年船齡的船只，賣方應(yīng)負(fù)擔(dān)超船齡外保險(xiǎn)費(fèi)。買方絕不接受超過25年船齡的船只。

15.8對于散件貨，如果賣方未經(jīng)買方事前同意而裝入集裝箱，賣方應(yīng)負(fù)責(zé)向買方支付賠償金，由雙方在適當(dāng)時間商定具體金額。

15.9賣方應(yīng)和載運(yùn)貨物的船只保持密切聯(lián)系，并以最快的手段通知買方船只在途中發(fā)生的一切事故，如因賣方未及時通知買方而造成買方的一切損失賣方應(yīng)負(fù)責(zé)賠償。

條件

在cif條件下，除本合同第15條c&f條件適用之外賣方負(fù)責(zé)貨物的保險(xiǎn)，但不允許有免賠率。

17.裝船通知

貨物裝船完畢后48小時內(nèi)，賣方應(yīng)即以電報(bào)或電傳通知買方合同號、商品名稱、所裝重量(毛/凈)或數(shù)量、發(fā)票價(jià)值、船名、裝運(yùn)口岸、開船日期及預(yù)計(jì)到達(dá)目的港時間。如因賣方未及時用電報(bào)或電傳給買方以上述裝船通知而使買方不能及時保險(xiǎn)，賣方負(fù)責(zé)賠償買方由此而引起的一切損害及/或損失。

18.裝船單據(jù)

18.a賣方憑下列單據(jù)向付款銀行議付貨款：

18.a.1填寫通知目的口岸的____________________運(yùn)輸公司的空白抬頭、空白背書的全套已裝運(yùn)洋輪的清潔提單(如系c&f/cif條款則注明“運(yùn)費(fèi)已付”，如系fob/fas條款則注明“運(yùn)費(fèi)待收”)。

18.a.2由信用證受益人簽名出具的發(fā)票5份，注明合同號、信用證號、商品名稱、詳細(xì)規(guī)格及裝船嘜頭標(biāo)記。

18.a.3兩份由信用證受益人出具的裝箱單及/或重量單，注明每件貨物的毛重和凈重及/或尺碼。

18.a.4由制造商及/或裝運(yùn)口岸的合格、獨(dú)立的公證行簽發(fā)的品質(zhì)檢驗(yàn)證書及數(shù)量或重量證書各兩份，必須注明貨物的全部規(guī)格與信用證規(guī)定相符。

18.a.5本交貨條件第17條規(guī)定的裝船通知電報(bào)或電傳副本一份。

18.a.6證明上述單據(jù)的副本已按合同要求寄出的書信一封。

18.a.7運(yùn)貨船只的國籍已經(jīng)買主批準(zhǔn)的書信一封。

18.a.8如系賣方保險(xiǎn)需提供投保不少于發(fā)票價(jià)值110%的一切險(xiǎn)和戰(zhàn)爭險(xiǎn)的保險(xiǎn)單。

18.b不接受影印、自動或電腦處理、或復(fù)印的任何正本單據(jù)，除非這些單據(jù)印有清晰的“正本”字樣，并經(jīng)發(fā)證單位授權(quán)的領(lǐng)導(dǎo)人手簽證明。

18.c聯(lián)運(yùn)提單、遲期提單、簡式提單不能接受。

18.d受益人指定的第三者為裝船者不能接受，除非該第三者提單由裝船者背書轉(zhuǎn)受益人，再由受贈人背書后方可接受。

18.e信用證開立日期之前出具的單據(jù)不能接受。

18.f對于c&f/cif貨載，不接受租船提單，除非受益人提供租船合同、船長或大副收據(jù)、裝船命令、貨物配載圖及或買方在信用證內(nèi)所要求提供的其它單據(jù)副本各一份。

18.g賣方須將提單、發(fā)票及裝箱單各兩份副本隨船帶交目的口岸的買方收貨代理人______________________________。

18.h載運(yùn)貨船啟碇后，賣方須立即航空郵寄全套單據(jù)副本一份給買方，三份給目的口岸的對外貿(mào)易運(yùn)輸公司分公司。

18.方應(yīng)負(fù)責(zé)賠償買方因賣方失寄或遲寄上述單據(jù)而使買方遭受的一切損失。

18.j中華人民共和國境外的銀行費(fèi)用由賣方負(fù)擔(dān)。

19.合同所訂貨物如用空運(yùn)，則本合同有關(guān)海運(yùn)的一切條款均按空運(yùn)條款執(zhí)行。

20.危險(xiǎn)品說明書

凡屬危險(xiǎn)品及/或有毒，賣方必須提供其危險(xiǎn)或有毒性能、運(yùn)輸、倉儲和裝卸注意事項(xiàng)以及防治、急救、消防方法的說明書，賣方應(yīng)將此項(xiàng)說明書各三份隨同其他裝船單據(jù)航空郵寄給買方及目的口岸的________________________________________運(yùn)輸公司。

21.檢驗(yàn)和索賠

貨物在目的口岸卸畢60天內(nèi)(如果用集裝箱裝運(yùn)則在開箱后60天)經(jīng)中國進(jìn)出口商品檢驗(yàn)局復(fù)驗(yàn)，如發(fā)現(xiàn)品質(zhì)、數(shù)量或重量以及其它任何方面與本合同規(guī)定不符，除屬于保險(xiǎn)公司或船行負(fù)責(zé)者外，買方有權(quán)憑上述檢驗(yàn)局出具的檢驗(yàn)證書向賣方提出退貨或索賠。因退貨或索賠引起的一切費(fèi)用包括檢驗(yàn)費(fèi)、利息及損失均由賣方負(fù)擔(dān)。在此情況下，凡貨物適于抽樣及寄送時如賣方要求，買方可將樣品寄交賣方。

22.賠償費(fèi)

因“人力不可抗拒”而推遲或不能交貨者除外，如果賣方不能交貨或不能按合同規(guī)定的條件交貨，賣方應(yīng)負(fù)責(zé)向買方賠償由此而引起的一切損失和遭受的損害，包括買價(jià)及/或買價(jià)的差價(jià)、空艙費(fèi)、滯期費(fèi)，以及由此而引起的直接或間接損失。買方有權(quán)撤銷全部或部分合同，但并不妨礙買方向賣方提出索賠的權(quán)利。

23.賠償例外

由于一般公認(rèn)的“人力不可抗拒”原因而不能交貨或延遲交貨，賣方或買方都不負(fù)責(zé)任。但賣方應(yīng)在事故發(fā)生后立即用電報(bào)或電傳告買方并在事故發(fā)生后15天內(nèi)航空郵寄買方災(zāi)害發(fā)生地點(diǎn)之有關(guān)政府機(jī)關(guān)或商會所出具的證明，證實(shí)災(zāi)害存在。如果上述“人力不可抗拒”繼續(xù)存在60天以上，買方有權(quán)撤銷合同的全部或一部。

24.仲裁

雙方同意對一切因執(zhí)行和解釋本合同條款所發(fā)生的爭議，努力通過友好協(xié)商解決。在爭議發(fā)生之日起一個合理的時間內(nèi)，最多不超過90天，協(xié)商不能取得對買賣雙方都滿意的結(jié)果時，如買方?jīng)Q定不向他認(rèn)為合適的有管轄權(quán)的法院提出訴訟，則該爭議應(yīng)提交仲裁。除雙方另有協(xié)議，仲裁應(yīng)在中國北京舉行，并按中國國際貿(mào)易促進(jìn)委員會對外貿(mào)易仲裁委員會所制訂的仲裁規(guī)則和程序進(jìn)行仲裁，該仲裁為終局裁決，對雙方均有約束力。仲裁費(fèi)用除非另有決定，由敗訴一方負(fù)擔(dān)。

在今天，絕大部分雇主指出，他們是從來不會看沒有求職信（cover letter）的個人簡歷的。因此，求職信是必要的。但求職信不是對個人簡歷的簡單復(fù)述，而是禮貌而鮮明的突出自己的目標(biāo)和要求，促使閱讀者有興趣閱讀你的個人簡歷和推薦信。

1， 可保證個人簡歷到達(dá)正確的閱讀人的桌面。如果招聘廣告上沒有收信人的姓名，我推薦打電話詢問將會處理求職申請的人的姓名（這顯示你的誠意以及專業(yè)精神，給雇主深刻印象）。假如不能的話按照以下原則：小型企業(yè)—經(jīng)理（managing director），中型企業(yè)—部門負(fù)責(zé)人（head of section/department），大型企業(yè)—全體職員或者人事部（personnel or human resource department）。

3， 清楚地表明你對具體哪一個職位感興趣

或許你可以從網(wǎng)上或?qū)W校提供的求職指引得到一些寫個人簡歷的模板，但雇主通常對千篇一律的求職信不感興趣。因此，千萬不要復(fù)制一些標(biāo)準(zhǔn)的模板。你的cv應(yīng)該是你自己的，個性化的，但又跟個性化不同。

首先，個人簡歷應(yīng)該用文字處理軟件來打出，并用質(zhì)量好的打印機(jī)打印。注意不要用太多不同的字體和大小，不要用其它顏色。但推薦用加粗或者下劃線標(biāo)出少數(shù)的重要的關(guān)鍵詞，便于雇主找尋他想看到的詞。

其次，不要忘記在計(jì)算機(jī)上用―拼寫和語法‖工具查拼寫錯誤和語法錯誤，或者讓其他英語水平好的朋友檢查。

2，教育程度（education）

高中畢業(yè)情況很簡要的列出，比高中遠(yuǎn)的學(xué)歷沒必要列出。

建議按照由近到遠(yuǎn)的時間循序列出。

3，工作經(jīng)驗(yàn)(work experiences)

列出你最近的工作經(jīng)驗(yàn)。給出你雇主的名字，你自己的職位，還有非常重要的是，你在工作崗位上所作的成績和貢獻(xiàn)。如果沒有突出的成績，可以列出你的職能，例如接待多少客戶，完成多少項(xiàng)目，協(xié)助完成多少項(xiàng)公司交易等。

另外，只要是與所求職位相關(guān)的工作經(jīng)驗(yàn)，即使是很短期的part-time工作，也不妨把它列出來。

4，技能長處（skills）

包括語言能力，計(jì)算機(jī)水平和經(jīng)驗(yàn)，有否駕駛照等

5，個人興趣（intrest / extracurricular activities）

簡要地列出你的一些個人興趣，例如體育項(xiàng)目（如果你跟雇主的興趣相同的話更佳）、集體活動、志愿工作等，尤其是如果你在這些活動中擔(dān)任領(lǐng)袖（leadership）的話。注意一定要簡練。舉個例子，如果你曾擔(dān)任系籃球隊(duì)隊(duì)長的話，雇主沒有興趣知道具體你什么時候擔(dān)任，打過幾場比賽，贏過幾場比賽等。假如他們對這些有興趣的話會在面試的時候問你。

這一部分可以讓雇主從側(cè)面了解你的群體協(xié)作程度和正面的社交性格。

6，推薦信和/或推薦人（references/referees）

通常列出兩個名字，一個來自大學(xué)，另一個來自任何工作環(huán)境（全職/part-time/義工）。如果沒有的話，可以列出對你非常了解的比你年長的家庭朋友。然后給出他們的職位，工作電話和夜間電話（事先必須獲得他們的同意）。

7，可選項(xiàng)（optional extras）

在開頭可以采用個性化的聲明（personal profile/objective statement），用兩到三個句子概括你的能力，

資格，希望和計(jì)劃。這一點(diǎn)可以引起雇主閱讀的興趣。

另外，你還可以在簡歷上加一張你自己的照片（掃描或者在文檔粘貼）。但照片必須是積極的照得很好的，而且是―活潑‖的（不要看起來病態(tài)、囚態(tài)、魔態(tài)或者古板）。

15.2.賣方所租船只應(yīng)適航和適貨。賣方租船時應(yīng)慎重和認(rèn)真地選擇承運(yùn)人及船只。買方不接受非保賠協(xié)會成員的船只。

15.3.賣方所租載貨船只應(yīng)在正常合理時間內(nèi)駛達(dá)目的港。不得無故繞行或遲延。

15.4.賣方所租載貨船只船齡不得超過15年。對超過15年船齡的船只其超船齡額外保險(xiǎn)費(fèi)應(yīng)由賣方負(fù)擔(dān)。買方不接受船齡超過二十年的船只。

(19) 不可抗力：賣方對由于下列原因而導(dǎo)致不能或暫時不能履行全部或部分合同義務(wù)的，不負(fù)責(zé)任：水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭或其他任何在簽約時賣方不能預(yù)料、無法控制且不能避免和克服的事件。但賣方因盡快地將所發(fā)生的事件通知對方，并應(yīng)在事件發(fā)生后15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對方。如果不可抗力事件之影響超過120天，雙方應(yīng)協(xié)商合同繼續(xù)履行或終止履行的事宜。

(20) 仲裁：因履行本合同所發(fā)生的一切爭議，雙方應(yīng)友好協(xié)商解決，如協(xié)商仍不能解決爭議，則應(yīng)將爭議提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會（北京），依據(jù)其仲裁規(guī)則仲裁。仲裁裁決是終局的，對雙方都有約束力。仲裁費(fèi)應(yīng)由敗訴一方承擔(dān)，但仲裁委員會另有裁定的除外。在仲裁期間，除仲裁部分之外的其他合同條款應(yīng)繼續(xù)執(zhí)行。

雙方在遵守中華人民共和國法律、法規(guī)的前提下，本著本等互利的原則，就來料加工__________進(jìn)行了充分協(xié)商，一致達(dá)成如下合同條款：

一、雙方責(zé)任

1.甲方責(zé)任：

（1）提供有上蓋之廠房________平方米，無上蓋場地________平方米，工廠管理人員________名，生產(chǎn)工人________名、開業(yè)后________月增至________名。在合同期內(nèi)代乙方加工生產(chǎn)上述產(chǎn)品，加工成品后交回乙方復(fù)出。

（3）工人如因工作不力（含工廠管理人員），經(jīng)教育無效者，乙方有權(quán)向甲方提出調(diào)換，但禁止非法搜查甲方工廠工人的身體。

二、加工數(shù)量

第一年加工上述產(chǎn)品，加工費(fèi)約_____萬元，從第二年開始的產(chǎn)量，應(yīng)在前一年的基礎(chǔ)上有所增加，具體數(shù)量應(yīng)在生產(chǎn)合同中訂明。

三、作價(jià)原則和工繳費(fèi)

五、來料和交貨期

1.乙方按生產(chǎn)合同的加工量，按月提供足夠數(shù)量的原輔材料和包裝物料。為使甲方工廠能正常生產(chǎn)，乙方必須在每批產(chǎn)品開始加工前____天，將所需的原材料和包裝物料運(yùn)抵甲方工廠。除因人力不可抗拒之原因外，乙方來料不足，造成甲方工廠每月生產(chǎn)不足_____天，停工天數(shù)累計(jì)不得超過四天，否則，乙方應(yīng)按 在廠工人以停工天數(shù)計(jì)，每人每天補(bǔ)助生活費(fèi)_____元，支付給甲方工廠。

3.由乙方提供的機(jī)械、通風(fēng)、照明等設(shè)備及原輔材料、包裝物料，在甲方工廠由雙方進(jìn)行交收登記，建立帳冊。甲方工廠加工后的成品，在甲方工廠經(jīng)乙方驗(yàn)收起運(yùn)后，甲方不負(fù)產(chǎn)品規(guī)格、質(zhì)量、短缺等任何責(zé)任。

六、結(jié)匯形式

工繳費(fèi)及工人管理費(fèi)每月結(jié)算一次，以d/p即期結(jié)匯或支票方式結(jié)匯，由甲方工廠會同（____政府授權(quán)的處理來料加工事務(wù)并具有外貿(mào)經(jīng)營權(quán)的）_______貿(mào)易公司(下稱授權(quán)貿(mào)易公司)開具發(fā)票后，通過中國銀行（深圳分行）向乙方在香港開戶的銀行（____銀行。帳號_____）辦理。乙方超過_____天仍未付款給甲方，則按逾期天數(shù)，以當(dāng)時香港銀行利息一并付給甲方。乙方連續(xù)_____個月不結(jié)匯，甲方有權(quán)采取停止出貨或其它措施。

1.工廠應(yīng)做好勞動保護(hù)及安全工作，完善防塵、防煙、防毒設(shè)施，廠房保持通風(fēng)光亮，內(nèi)外環(huán)境衛(wèi)生整潔，對有污染性項(xiàng)目，須經(jīng)市環(huán)保部門批準(zhǔn)，方能立項(xiàng)經(jīng)營。

2.乙方提供的機(jī)械、通風(fēng)、照明設(shè)備、原輔材料、包裝物件及甲方工廠加工后的成品運(yùn)輸費(fèi)用，均由乙方負(fù)責(zé)。

3.原輔材料、包裝物料的運(yùn)進(jìn)，成品運(yùn)出及加工期間存放的機(jī)械設(shè)備、原料和包裝物料及操作機(jī)械的工人，均由乙方向_____保險(xiǎn)公司投保。

八、技術(shù)交流

九、合同期限

十一、語言

本合同以英文和中文書就，兩種文本具有同等效力。但在對其解釋產(chǎn)生異議時，以中文文本為準(zhǔn)。

party a and party b, according to the laws and policies of the people's republic of china and the relevant regulations and the principles of equality and mutual benefit, have held discussions relating to the processing and assembling of (plastic toy products) and have reached agreement on the following contractual clauses:

1. responsibilities

(1)responsibilities of party a

1) party a shall provide factory space consisting of _____ square metres, field of _____ square metres without covering, _____ factory management person and _____ workers for the first phase. the number of workers shall be increased to _____ twelve months after operation. within the contract term, party a shall process the products for party b which shall be re-exproted to _____.

2. quantity of products

3. price & salary

(1) the trial production (including training) period shall be _____. during such period, the workers shall be paid _____ per month on the basis of _____ working days per month and _____ working hours per day.

5. shipment of raw materials & finished products

(1) every month, party b shall provide sufficient raw materials and packaging materials according to the contracted processing volume. to ensure the normal production of party a's plant, party b shall ship such materials to the plant_____ days before the production of each lot of products. except for reason of force majeure, the plant shall operate for more than _____ days in a month. in case production is held up for _____ days to insufficient supply of raw materials, party b shall calculate the actual days when production is shut down and pay to party a the workers' living expenses at the rate of _____ per person per day.

(2) to ensure the normal operation of party b's business activities, party a shall deliver the finished products to party b in accordance with the time of delivery, quality and quantity. except for reason of force majeure, in case losses to party b are caused due to party a's failure to make delivery as mentioned above, party a shall be responsible for the compensation. details of such compensation shall be mutually agreed upon in separate processing contracts.

(3) both parties shall mutually inspect and document the equipment and materials provided by party b, such as machinery, ventilation and lighting equipment and raw materials. after the finished products are inspected and shipped from the plant by party b, party a shall be free of any responsibility in regard to specifications, quality and quantity, etc.

6. method of payment

payment of workers' salary and management fee shall be settled once a month by d/p, which shall be conducted through bank of china _________branch by party b's bank in _____ (_____bank, ac no.______) in accordance with the invoices issued by party a and a trade company (authorized by the local government to be ige of affairs of processing and assembly and with foreign trade authority, hereinafter referred to as the authorized trade company). in case party b's payment is delayed for _____ days, party b shall be responsible for the interest incurred according to the bank's interest rate; in case payment is not settled for _____ consecutive months, party a shall have the right to suspend delivery of the finished products or take other measures.

7. labour protection & insurance

(1) the plant shall take safety measures and protect the workers from dirt, smoke and poisonous materials. the factory shall be maintained ventilated and bright, and the surroundings clean and tidy.

(2) the transportation expenses for the machinery, ventilation and lighting equipment, raw materials, indirect materials, packaging materials and the finished products shall be paid for by party b.

(3) all insurance for the transportation and storage of the above materials, machinery and equipment and coverage of the workers operating the machinery shall be arranged through the _____ insurance company of.

8. technical exchange

after the arrival of the equipment in the plant, party b shall dispatch personnel to install such equipment, while party a shall arrange personnel to assist the installation. when the trial production begins, party b shall provide technical personnel to carry out the training until the workers have mastered the technology and the production operates normally. party b shall be responsible for the technical personnel's salary and all related expenses, and party a shall provide daily necessities.

9. contract term

after this contract is signed and approved, party b shall present to party a its commercial registration and bank credit certificate for party a to arrange business licence and customs registration. the term of this contract shall be three years, e.g. from______ to________. if either party wishes to terminate in advance or extend the contract, the responsible party shall inform the other party three months in advance so that both parties can discuss and settle such a termination or extension. if either party terminates the contact before the term expires, the responsible party shall compensate the other party for the losses in such case, the responsible party shall pay the other party as compensation the amount of _____ times the monthly processing fee. the fee will be based on the average monthly fee of the previous _____ months.

after the contract term expires, the real estate such as the factory building and dormitory building shall return to party a and the machinery and equipment delivered by party b shall be returned to party b. customs clearance procedures shall be gone through according to relevant regulations.

any dispute arising from or in connection with this contract (and including all the separate processing contracts) shall be settled through amicable negotiation. should no settlement be reached through negotiation, the case shall then be submitted to the china international economic and trade arbitration commission (cietac) ,shenzhen commission for arbitration that shall be conducted in shenzhen in accordance with the cietac's arbitration rules in effect at the time of applying for arbitration. the arbitral award is final and binding upon parties.

11. language

the present contract is drawn in chinese and english as well, both texts being equally authentic. in case of any pergence of interpretation, the chinese text shall prevail.

12. amendment and copies
