二 供貨期

三 結(jié)算

四 包裝

賣方應(yīng)在包裝貨物時(shí)采取所有預(yù)防措施以保證貨物在儲(chǔ)存、海運(yùn)、陸運(yùn)、吊裝時(shí)完好無損。

五 商品的品質(zhì)和保證

所供商品的品質(zhì)應(yīng)由品質(zhì)證明書加以確認(rèn),該證書確認(rèn)商品品質(zhì)符合生產(chǎn)國(guó)的技術(shù)條件和國(guó)家標(biāo)準(zhǔn)。

所供商品的品質(zhì)性能應(yīng)與標(biāo)準(zhǔn)樣品相一致,標(biāo)準(zhǔn)樣品在簽定合同時(shí)交給買方,在保證期內(nèi)留存買方并在對(duì)供貨品質(zhì)發(fā)生爭(zhēng)議的情況下供雙方使用。

保證期為供貨后九個(gè)月。

六 索賠

購方可按_____年_____月_____日____________________所規(guī)定的期限和程序在下列方面提出索賠。

1.貨物的數(shù)量

如貨物數(shù)量與明細(xì)單注明的數(shù)量不符,在包裝完整和沒有外部損傷(內(nèi)部短缺)的情況下,購方有權(quán)憑檢驗(yàn)證書提出索賠。

如果貨物的發(fā)運(yùn)系按發(fā)貨人確定的重量發(fā)出,而國(guó)境交接站雙方鐵路交接中發(fā)現(xiàn)不足,并從實(shí)際情況看來,不是鐵路方面的過失??筛鶕?jù)雙方鐵路方面編制的商務(wù)記錄提出索賠。

2.貨物的質(zhì)量

如貨物品質(zhì)與合同規(guī)定不符時(shí),可根據(jù)商品檢證或無利害關(guān)系的權(quán)威機(jī)關(guān)的代表參與制成的記錄提出異議。

如售方所供貨物的品質(zhì),不符合合同規(guī)定的技術(shù)條件或與雙方確認(rèn)的樣品不符時(shí),購方有權(quán)要求售方或者削價(jià)、或者更換貨物。如果售方自收到異議之日起_____天內(nèi)不作最后決定,或不同意檢驗(yàn)證書中確定的削價(jià)百分比時(shí),則購方有權(quán)將品質(zhì)不合格的貨物按售方提供的地址退給售方。售方應(yīng)在本合同規(guī)定的異議審理期限內(nèi)將返回地址通知購方。

如果在每批貨物中發(fā)現(xiàn)殘次品占_____0%以上,收貨人則將退回全部貨物。由于質(zhì)量原因退回貨物時(shí)所產(chǎn)生的全部費(fèi)用由售方承擔(dān)。

在這種情況下,售方?jīng)]有免除向購方補(bǔ)發(fā)數(shù)量相同并符合合同規(guī)定的貨物的責(zé)任。

在終點(diǎn)站檢驗(yàn)貨物的數(shù)量和/或質(zhì)量或需要的一切費(fèi)用由購方承擔(dān)。

七 不可抗力條款

由于發(fā)生不可抗力情況(如:火災(zāi)、水災(zāi)、地震等),而直接影響本合同的履行時(shí),售方對(duì)本合同的部分義務(wù)或全部義務(wù)無法履行的責(zé)任不予承擔(dān)。經(jīng)雙方協(xié)商,履行本合同義務(wù)的期限也可相應(yīng)推遲。發(fā)生不可抗力情況一方應(yīng)自災(zāi)情結(jié)束之日起,十日內(nèi)將有關(guān)發(fā)生不可抗力的性質(zhì)、毀壞程度及影響合同履行的情況書面通知對(duì)方。如對(duì)方有異議,發(fā)生不可抗力情況一方憑其國(guó)家有關(guān)機(jī)關(guān)的認(rèn)證書豁免責(zé)任,中方為__________,__________方為_______________。

為了進(jìn)一步鞏固所學(xué)知識(shí),有機(jī)地將理論與實(shí)踐相結(jié)合,學(xué)會(huì)巧妙運(yùn)用談判技巧,了解社會(huì),了解市場(chǎng),接觸實(shí)際,將自己所學(xué)的專業(yè)知識(shí)能更好的運(yùn)用到實(shí)踐當(dāng)中,從而能更好更快的適應(yīng)將來的工作。

12月x日下午我們?nèi)チ嗣窈交▓@酒店,感受了下酒店氛圍,聽了兩位成功人士的講座,他們分別從物流市場(chǎng)和旅游市場(chǎng)為我們做了詳細(xì)細(xì)致的講解。從他們的講座中我們了解到,旅游業(yè)的發(fā)展起步晚,現(xiàn)狀比較艱辛,但前景將是非常樂觀的??梢杂眠@么一句話來描述:“賺著賣白菜的利潤(rùn),頂著賣白粉的風(fēng)險(xiǎn)”。然而,旅游業(yè)作為一項(xiàng)

新興的產(chǎn)業(yè),起步較晚,現(xiàn)在發(fā)展的還不夠成熟。但隨著經(jīng)濟(jì)的發(fā)展,人們收入的增加,以及人們對(duì)精神的追求更加強(qiáng)烈。所以旅游業(yè)的發(fā)展將會(huì)欣欣向榮。物流的現(xiàn)狀是非常好的,電子商務(wù)的發(fā)展帶動(dòng)了物流業(yè)的發(fā)展。然而,從事這一行業(yè)也充滿著許多的風(fēng)險(xiǎn)。例如:貨物損失,攜款而逃,不提貨等各種風(fēng)險(xiǎn)。聽著他們的講解,讓我受益匪淺,收獲頗多,為邁出校門走向社會(huì)打下了良好的基礎(chǔ)。

12月x日我們來到了南昌洪城大市場(chǎng),先對(duì)南昌洪城大市場(chǎng)整體做了一下調(diào)查,根據(jù)我們的調(diào)查,我們了解到,洪城大市場(chǎng)占地1700畝,有19個(gè)市場(chǎng),約1.3萬店面,是全國(guó)第四大市場(chǎng)。每日車水馬龍,工具五花八門,廣告諸多,層出不窮,商品琳瑯滿目,折扣,甩賣是必見的景象,每年都涌現(xiàn)出一批批千、百萬戶。洪城大市場(chǎng)分四大交易區(qū),經(jīng)營(yíng)小百貨、鞋帽、布匹、服裝、針織品、床上用品、副食品等七大類商品。市場(chǎng)內(nèi)還配有餐飲、住宿、郵政通訊、金融保險(xiǎn)、交通售票、貨運(yùn)客運(yùn)、代辦托運(yùn)、醫(yī)療保健等服務(wù)設(shè)施。市場(chǎng)內(nèi)的大型停車場(chǎng),可集中停放各類車近千輛。公交車、客運(yùn)車由市場(chǎng)始發(fā)開往省內(nèi)外各市、縣及市區(qū)主要車站、碼頭、商業(yè)街,形成多方位的交通網(wǎng)絡(luò)。這些都對(duì)洪城大市場(chǎng)的發(fā)展以及推動(dòng)南昌經(jīng)濟(jì)的發(fā)展起到了決定性的作用。

為了得到更多有益的信息,我們深入市場(chǎng)進(jìn)行親身體會(huì)。 進(jìn)入市場(chǎng),就被濃重的商業(yè)氛圍給渲染了。正值冬季,圍巾受到了越來越多的人的青睞,于是,我們幾人決定了解一下圍巾市場(chǎng)。在去市場(chǎng)之前我們了解到現(xiàn)在圍巾類的商品的毛利率在30%至50%之間,根據(jù)成

品的供應(yīng)價(jià)格浮動(dòng)和品牌連鎖的價(jià)格折扣不同而不同。找到店鋪之后,我們發(fā)現(xiàn)圍巾做工相對(duì)精致,感覺相對(duì)舒適。我們中的女同學(xué)認(rèn)為她們能接受的價(jià)位在25~30元。之后再去了兩家店面,發(fā)現(xiàn)圍巾的樣式如出一轍,分別詢問一下價(jià)格,都有所差別,但顧客都有比較的心理,正所謂貨比三家不吃虧,即使是微小的差別也很可能在顧客心中留下印象,競(jìng)爭(zhēng)的市場(chǎng)是有利于大眾消費(fèi)的。我們觀察發(fā)現(xiàn)在店里面有兩名女性顧客最終以30元的價(jià)格成交了一條。老板好像也是勉強(qiáng)才同意的,說除去租金,水電費(fèi)等一切開支利潤(rùn)已經(jīng)降到很小了。但買賣雙方都有自己的心理定價(jià),相互能成交表示已經(jīng)妥協(xié)了。

根據(jù)我們的深入了解,我們了解到整個(gè)市場(chǎng)中,外貿(mào)轉(zhuǎn)內(nèi)銷類型的小店,占據(jù)整個(gè)市場(chǎng)的很大比例,由于投入成本低廉,進(jìn)貨渠道多樣,款式比較多,主題比較豐富,是消費(fèi)者中淘寶愛好者的首選場(chǎng)所,更能在其中淘到自己喜歡的東西,靈活搭配是其生存的根本原因,穩(wěn)定的客戶來源是其生存的保證。但是,市場(chǎng)競(jìng)爭(zhēng)激烈,往往相同類型的相鄰的小店很多,雖然存在個(gè)體的差異,但是顧客的滿意程度才是決定成交的最大因素,既是“小店”,陳列和庫存比例較小,樣式不夠,在夾縫中求生存,缺乏競(jìng)爭(zhēng)力很難發(fā)展壯大。

六、收獲和體會(huì)

這次實(shí)訓(xùn)中,我深深的感受到,我們的實(shí)際操作能力與在校理論學(xué)習(xí)有一定的差距。實(shí)踐,就是把我們?cè)趯W(xué)校所學(xué)的理論知識(shí),運(yùn)用到客觀實(shí)踐中去,使自己所學(xué)的理論知識(shí)有用武之地.只學(xué)不實(shí)踐,那么所學(xué)的就等于零。下面是我的一點(diǎn)感受:

我們要在學(xué)校里學(xué)習(xí)理論知識(shí),還要從生活中,實(shí)踐中學(xué)習(xí)其他知識(shí)。作為我們學(xué)的專業(yè),要做到理論與實(shí)際相結(jié)合,這樣才能真正的知識(shí)。因此,我們需要理論與實(shí)際相結(jié)合,及時(shí)了解到社會(huì)的發(fā)展,不只要學(xué)好學(xué)校里所學(xué)的知識(shí),還要不斷從生活中,實(shí)踐中學(xué)其他知識(shí),不斷從各個(gè)方面武裝自己,才能在競(jìng)爭(zhēng)中突出自己,表現(xiàn)自己。

人際溝通在每個(gè)行業(yè)都是非常重要的,溝通不是單獨(dú)的行為。談判雙方一定要進(jìn)行很好的溝通,一定要有理有據(jù),爭(zhēng)取實(shí)現(xiàn)雙贏。

在商務(wù)談判中要善于靈活運(yùn)用各種談判策略和掌握談判的相關(guān)方法和原則就會(huì)最大限度的達(dá)到談判有利于自己的目標(biāo),減少成本和損失。

cp張: after going over your price-list and catalogues, we are interested in(gmtmaster) and yachtmaster, but we found that your price are too high than those offered by other suppliers. it would be impossible for us to push any sales at such high far as we know the market price is on more than 10000 dollor

ss章: what?it must be the primary price. you must know that the cost of production has risen a great deal in recent years while our prices of chinaware basically remain unchanged. to be frank, our commodities have always come up to our export standard and the packages are excellent designed and printed. so our products are moderately priced.

cp張:im afraid i cant agree with you in this respect. i know that your products are attractive in design, but i wish to point out that your offers are higher than some of the quotations. ive received from your competitors in other countries. so, your price is not competitive in this market.

ss章:as you may know, our roducts which is of high quality have found a good market in many countries. so you must take quality into consideration, too.

cp張:i agree with what you say, but the price difference should not be so big. if you want to get the order, youll have to lower the price. thats reasonable, isnt it?

ss章:: well, in order to help you develop business in this line, we may consider making some concessions in your price, but never to that extent.

cp張: if you are prepared to cut down your price by 8%, we might come to terms.

ss章:8%? im afraid you are asking too much. actually, we have never gave such lower price. for friendships sake, we may exceptionally consider reducing the price by 5%. this is the highest reduction we can afford.

cp張: you certainly have a way of talking me into it. but i wonder if when we place a larger order, youll farther reduce your prices. i want to order one container of 格林尼治型(gmtmaster and 438 sets of yacht elites type (yacht master)

cm:to tell you frankly, a letter of credit would increase the cost of our import. when i open a letter of credit with a bank, i have to pay a deposit. that’ll tie up our money and add to our cost.

cs夏:i think you may know what we manage is rolex watches. it requires waterproof and safey-transportation, especially during the long time of ocean shipping which will be full of lots of risks. all the above factors make it not work without excellent transportation technology.

sf建:in insurance we are vip customers all the time in ansheng insurance company—the second excellent insurance company in the world. we are enjoying a set of the favorable menus. it can save you a large sum of premium. so if we are responsible for the transportation and insurance business, i think it will be a mutual benefit particularly for you.

cs夏:we learn that you know a lot about the market in china. so we accept the term of the trade of we’ll appreciate it if you can decrease 50 dollars each.

sf建:it seem that your requirement is too harsh. our cif offers are already very ys the crude oil price increasingly rise in international market. the freight charges go up continuously too .what’s worse ,the unstability of iraqi situation and constantly happening of terrorist incidents in recent years cause arabian countries to the contagonistic mood of america european countries .we insure you all these risks .in view of these factors ,we can’t accept to the requirement to decrease 50dollars indeed .since you are really sincere ,we could consider lowing20dollars.

cs夏:20 dollars?iam afraid we can not accept ,please give same time to discuss it,we will tell you the result latterly.

cm張榮:after our discussion ,if you can’t decrease ,we require to insure f.p.a and clash and breakage instead of all risks.
